Payments Enablement Agreement

This Payments Enablement Agreement ("Agreement") supplements the Service Agent OS Terms of Service between Eminence Services LLC, doing business as Service Agent OS ("Service Agent OS"), and the business accepting this Agreement ("Business"). It governs the Business's use of payment features that let the Business accept payments from its own customers through a Stripe account connected to Service Agent OS.

1. Authority and business information

The person accepting this Agreement represents that they are at least 18 years old, have authority to bind the Business, and have provided complete and accurate information. The Business must promptly update information that becomes inaccurate or incomplete.

2. Separate payment relationship

The Business connects and maintains its own Stripe account. The Business, not Service Agent OS, is the seller or service provider to each customer and the merchant of record for each customer transaction. Service Agent OS provides software and payment-integration functionality; it does not sell the Business's goods or services, take title to them, or become a party to the Business's customer contracts.

The Business's use of Stripe is governed by its agreements with Stripe. Nothing in this Agreement changes Stripe's agreements, assigns a responsibility that Stripe does not permit to be assigned, or limits obligations that applicable law places directly on Service Agent OS.

3. Business responsibilities

The Business is solely responsible for:

  • the legality, accuracy, quality, delivery, warranty, and fulfillment of its goods and services;
  • obtaining customer authorization for every charge and providing legally required receipts, disclosures, cancellation rights, and notices;
  • setting lawful prices, payment schedules, refund policies, and invoice terms;
  • refunds, returns, chargebacks, disputes, fraud losses, customer claims, and negative balances arising from its transactions, except to the extent Stripe expressly assumes a loss under Stripe's governing agreement;
  • sales, use, excise, income, payroll, and other taxes arising from its business or customer transactions;
  • complying with card-network rules, Stripe requirements, consumer-protection laws, licensing rules, sanctions, anti-money-laundering requirements, and other laws applicable to its business; and
  • securing its Stripe credentials, Service Agent OS account, customer information, and authorized users.

4. Prohibited activity

The Business may not use payment features for unlawful, fraudulent, deceptive, sanctioned, prohibited, or high-risk activity; card testing; cash advances; undisclosed factoring; transactions unrelated to genuine customer goods or services; or any activity prohibited by Stripe or card-network rules.

5. Vetting, monitoring, and continuing eligibility

Payment access is not automatic. Service Agent OS may request business, ownership, licensing, insurance, transaction, customer-service, or compliance information before or after approval. The Business authorizes Service Agent OS to use that information to evaluate payment-feature eligibility and to share information with Stripe or other service providers as reasonably necessary to operate, secure, or review the integration.

Approval may be delayed, conditioned, suspended, or revoked when information is incomplete, risks change, complaints or disputes increase, Stripe limits the connected account, or Service Agent OS reasonably believes continued access could harm customers, Stripe, Service Agent OS, or another person.

6. Refunds, disputes, and negative balances

The Business must respond promptly to refund requests, disputes, retrieval requests, fraud inquiries, and Stripe information requests. The Business is responsible for funding refunds, disputes, fees, penalties, and negative balances associated with its transactions to the extent assigned to the Business under its Stripe agreement and applicable law.

Service Agent OS does not promise that Stripe will accept a transaction, maintain an account, release a payout, or absorb a loss. Stripe's configured loss-responsibility settings and governing agreements control Stripe's allocation of connected-account losses.

7. Fees and no withholding authority

Service Agent OS subscription fees are separate from the Business's customer transactions. Unless a later written order expressly states otherwise, Service Agent OS does not charge an application fee on the Business's customer transactions and does not receive or hold the Business's customer funds. Stripe may deduct its own processing fees and other amounts under the Business's Stripe agreement.

8. Records and cooperation

The Business must keep records reasonably sufficient to demonstrate customer authorization, delivery or performance, refund compliance, and the legitimacy of transactions. The Business must reasonably cooperate with payment, fraud, dispute, compliance, and regulatory reviews.

9. Indemnification

To the maximum extent permitted by law, the Business will defend, indemnify, and hold harmless Service Agent OS, Eminence Services LLC, and their officers, employees, contractors, and affiliates from third-party claims, losses, liabilities, penalties, assessments, costs, and reasonable attorney fees arising from or relating to the Business's goods or services, customer contracts, transactions, refunds, disputes, fraud, taxes, legal violations, breach of this Agreement, or misuse of payment features, except to the extent finally determined to have resulted from the indemnified party's gross negligence, willful misconduct, or non-waivable legal responsibility.

10. Disclaimer and limitation

Payment features are provided subject to Stripe availability and the disclaimers and limitations in the Service Agent OS Terms of Service. No provision of this Agreement excludes liability that cannot lawfully be excluded or limited.

11. Suspension and termination

Service Agent OS may suspend or terminate payment access immediately for suspected fraud, security incidents, legal or Stripe requirements, material breach, elevated customer harm, or risk to the platform. Termination of payment access does not eliminate obligations arising from earlier transactions.

12. Electronic acceptance and records

By checking the acceptance box and submitting a payment-access request, the signer confirms that they reviewed this Agreement, intend to sign it electronically, and agree to bind the Business. Service Agent OS may retain the agreement version, exact accepted text, document hash, signer account, tenant, timestamp, IP address, user agent, approval decision, and related audit records as evidence of acceptance and administration.

13. Order of precedence and survival

This Agreement supplements the Service Agent OS Terms of Service. If the documents conflict specifically about payment-feature responsibilities, this Agreement controls to the extent permitted by Stripe's agreements and applicable law. Sections concerning transactions, refunds, disputes, taxes, records, indemnification, limitations, and retained acceptance records survive suspension or termination.
